Marc K. Salach’s corporate practice involves corporate, partnership, and limited liability company formation and structuring, as well as the preparation of the requisite governance documents. In addition, he counsels clients on mergers and acquisitions, reorganizations, asset purchase and sale transactions, and stock purchase and sale transactions. He prepares and negotiates financing agreements, employment agreements, and equity ownership transition agreements. He has extensive experience representing a variety of clients in private equity transactions including private securities offerings. Marc’s corporate practice also involves the representation of automotive dealerships in acquisition, sale, and financing transactions. These areas call upon his extensive experience in the laws and regulations governing the operation of automotive dealerships, including state franchise laws.

Marc’s real estate practice involves counseling clients in a wide range of matters, including commercial property acquisitions and dispositions, 1031 like-kind exchanges, and real estate financing transactions. In addition, he counsels clients concerning various real estate development projects, including the development of retail shopping centers. Marc also has experience representing landlords and tenants and has drafted and negotiated commercial leases for office and retail space.

He also counsels clients in all aspects of federal, state and local taxation, and formulates the tax structure of mergers, acquisitions, dispositions, and the restructuring of debt and equity interests in a variety of industries. Marc also has extensive experience in the preparation of corporate, partnership, fiduciary, and individual tax returns.

Marc earned his J.D. cum laude from the University of Michigan Law School in 2000. He received a B.S. in accounting from Oakland University in 1997.

Dana Kreis Glencer is a Member with Dawda PLC. She specializes in commercial real estate and business transactions.

Dana has assisted clients in transactional real estate matters involving the negotiation and documentation of agreements for the purchase and sale of commercial real estate, the acquisition and disposition of property, the development of shopping centers, and leasing of commercial retail and office space.

Dana’s practice also includes counseling clients regarding general business and corporate matters, such as business planning, entity formation, and asset purchases and sales.

Additionally, Dana has prior litigation experience in a variety of residential real estate matters, including the representation of financial institutions and mortgage companies in contested mortgage foreclosures and eviction proceedings. Her prior experience also includes bankruptcy and commercial litigation, as well as the representation of creditors and debtors in Chapter 7, 11 and 13 bankruptcy proceedings. She has represented landlords, financial institutions, creditors, and debtors. She has also handled numerous collection matters on behalf of creditors and financial institutions in Michigan.

Dana earned her J.D. from Michigan State University, College of Law, cum laude, in 1998, where she was a member of the Law Review and Note & Comment Editor. She earned her B.A. from Oakland University in 1995, majoring in Latin American Studies.

Dana is a member of the State Bar of Michigan, Real Property Law Section, and the Oakland County Bar Association. She is admitted to practice in all courts in the State of Michigan and before the U.S. District Court in the Eastern and Western Districts of Michigan.

Glenn G. Ross, a Member of Dawda PLC, focuses his practice in the areas of estate planning, business planning, estate administration, and related tax law.

Glenn’s expertise in these areas is extensive, emphasizing sound, practical advice, and creativity. He tailors his planning advice to each client’s specific situation to obtain the client’s goals and objectives, considering business succession concerns, family dynamics, the impact on the family now and in the future, and the tax consequences of the planning options available. He advises clients in planning both simple and complex estates, using wills, powers of attorney, patient advocate designations, lifetime gifting, various revocable and irrevocable trusts, charitable giving, family limited liability companies, shareholder agreements, and other various estate planning options and techniques.

Glenn also has considerable experience in post-death administration matters, including the administration of estates and trusts, and related tax advice. He assists family members to help them understand the administration process, the documents involved, and post-death estate planning opportunities.

Glenn advises fiduciaries in their responsibilities and duties in the administration of probate and trust estates, both related to tax issues and carrying out the terms of the estate plan.
