Marc K. Salach’s corporate practice involves corporate, partnership, and limited liability company formation and structuring, as well as the preparation of the requisite governance documents. In addition, he counsels clients on mergers and acquisitions, reorganizations, asset purchase and sale transactions, and stock purchase and sale transactions. He prepares and negotiates financing agreements, employment agreements, and equity ownership transition agreements. He has extensive experience representing a variety of clients in private equity transactions including private securities offerings. Marc’s corporate practice also involves the representation of automotive dealerships in acquisition, sale, and financing transactions. These areas call upon his extensive experience in the laws and regulations governing the operation of automotive dealerships, including state franchise laws.

Marc’s real estate practice involves counseling clients in a wide range of matters, including commercial property acquisitions and dispositions, 1031 like-kind exchanges, and real estate financing transactions. In addition, he counsels clients concerning various real estate development projects, including the development of retail shopping centers. Marc also has experience representing landlords and tenants and has drafted and negotiated commercial leases for office and retail space.

He also counsels clients in all aspects of federal, state and local taxation, and formulates the tax structure of mergers, acquisitions, dispositions, and the restructuring of debt and equity interests in a variety of industries. Marc also has extensive experience in the preparation of corporate, partnership, fiduciary, and individual tax returns.

Marc earned his J.D. cum laude from the University of Michigan Law School in 2000. He received a B.S. in accounting from Oakland University in 1997.

John Mucha III

John Mucha III is a Member of Dawda PLC. He concentrates his practice in the areas of general civil litigation, automotive supply chain matters, real estate matters, land use planning, and business disputes, including commercial, construction, real property, tort, and business confidential information matters.

John has considerable experience representing businesses and property owners in a broad range of matters, including general business litigation, including breach of contract disputes, automotive supply chain matters and contract negotiation, and claims involving the sale and leasing of real property. He has also litigated and successfully resolved land contamination matters as well as cases involving personal injury, property damage, and other torts. John has assisted both employers and executives with confidentiality and noncompete issues, including the drafting of various types of employment-related agreements. His litigation expertise encompasses all phases of the litigation process, from initial pleading and discovery stages to trials, appeals, and the negotiation of settlements. John also serves as a Discovery Mediator for the Oakland County (Michigan) Circuit Court.

With respect to land use, zoning, and planning matters, John has successfully guided owners, developers, and retailers through the applicable governmental approval processes. He has also successfully litigated land use disputes in both administrative hearings and in court.

John has also successfully argued cases before the Michigan Court of Appeals and the U.S. Sixth Circuit Court of Appeals, and he is admitted to practice in all state and federal courts in Michigan. He has served as the Chair of the State Bar of Michigan Litigation Section, the President of the Michigan Defense Trial Counsel (MDTC), and as an elected representative to the State Bar of Michigan Representative Assembly.

John earned his J.D. from the University of Michigan in 1987, where he also received a special award for writing and advocacy, and where he served as Contributing Editor of the Michigan Journal of Law Reform. He also earned a Master of Public Policy degree in 1979 and a B.A., with distinction, in 1977, from the University of Michigan. John is a frequent contributor to legal journals and publications and is also an active member of Rotary International, having served as the President of the Birmingham (Michigan) Rotary Club and having been awarded a District Governor’s citation for leading special projects.

Jeffrey D. Moss is a Member of Dawda PLC. He concentrates his legal practice in the areas of tax law, estate planning, business transactions, tax exempt non-profit matters, and real estate transactions. He is also co-chair of the Corporate Practice Group and chair of the Business Development Committee for the Firm.

In Jeffrey’s tax practice, he counsels companies and their owners, individuals and fiduciaries, and beneficiaries regarding tax planning, estate and succession planning, asset protection and tax compliance. Jeffrey uses these skills to counsel functional and dysfunctional businesses in business transition and succession planning matters.

Jeffrey’s corporate practice involves structuring and handling mergers and acquisitions, reorganizations, asset purchase and sale transactions, stock purchase and sale transactions, liquidations, recapitalizations, and related transactions. He also has a subspecialty of advising and representing inbound foreign subsidiary corporations.

Jeffrey also has many physician and medical practitioner clients and is actively involved in issues confronting medical professionals, including practice formation and separation, buy-sell agreements, employment agreements, estate planning and asset protection solutions, creation of limited liability companies, and other issues related to the medical and healthcare areas.

He also has experience in international tax planning, choice of entity, and other tax-advantage structures. Mr. Moss has experience with IRS controversies including the Offshore Voluntary Disclosure Program, and is admitted to practice in front of the IRS and in U.S. Tax Court. He also consults on renewable energy tax credits and Michigan solar panel taxation.

In the nonprofit area, Jeffrey handles the formation and qualification of entities as tax exempt under federal tax law for charitable purposes under IRS § 501(c)(3). He also represents many real estate professionals in acquisitions, sales, leasing, syndications, and tax-deferred 1031 transactions.

For his article titled “Solar Panels, Tax Incentives and Your House,” published by the ABA’s Property & Probate Magazine in January 2010, he was honored with a 2010 Excellence in Writing Award. The article was named the magazine’s Best Cutting Edge Article of 2010. Jeffrey has written many other articles and presentations, and is a frequent speaker and presenter including to the State Bar of Michigan Tax Section.

Since 2013, he has been a member of the Board of Directors of Yad Ezra, a public charity. Beginning in 2018, Jeffrey has been an Executive Board Member and served as Treasurer and Vice President. Beginning January 2025, Jeffrey will serve a 2-year term as President of Yad Ezra.

Jeffrey earned his J.D. from the University of Michigan Law School in 1993 and his LLM in Taxation from Wayne State University Law School in 1999. He received his B.A., with honors, from the James Madison College at Michigan State University in 1990.
